TERMS AND CONDITIONS OF SALE

TERMS

Terms are listed on your order acknowledgement and invoice. Customers with
no established credit are required to make payment of the total dollar amount of
the confirmation prior to January 1st. Any allowances are applicable only when
the terms of sale are met. A service charge will be charged at the rate of 1½%
per month, which is an annual percentage rate of 18%, on all past due
accounts unless other arrangements are made prior to shipment. We do not
accept any C.O.D. orders.

SHIPPING

We ship via refrigerated truck. All shipments travel at the risk and expense of
purchaser. We pack all our stock with the greatest care and our responsibility
ceases on delivery to the carrier. In most cases, freight is sent collect with pay-
ment due upon arrival.

CLAIMS

Claims for incorrect counts, breakage or unsatisfactory material must be made
within ten (10) days from receipt of shipment. Suspected damage or delay
while in transit should be noted on the delivery bills of lading and claims filed
immediately with the transportation company, as our responsibility ceases upon
delivery of stock in good condition to the carrier. Claims regarding disease or
mortality should be reported upon suspect and no later than June 1st following
delivery. We will make satisfactory adjustments when claims are definitely
established. We shall in no case be liable for any sum greater than the amount
originally received for said nursery stock. Grade standards are those adopted
by the American Nursery and Landscape Association.

GUARANTEE

We give no warranty, expressed or implied, as to life, description, quality,
productiveness or any other matter of any nursery stock we sell. It is mutually
agreed that our total liability for any error, should stock prove untrue to name as
labeled, shall be limited upon satisfactory proof to our replacing tree or
refunding the purchase price.

PATENTED, REGISTERED & TRADEMARKED TREES

All patented, registered and trademarked trees are grown under license from
their respective owners. A royalty fee on these trees will be assessed in
addition to the unit price as listed in the catalog.
